Homeshare offers are only available to “wholesale investors” and certain “permitted investors”. You will only be eligible to participate in a Homeshare offer if you qualify as either a wholesale investor or a permitted investor. We’ve created this guide to help you determine whether you qualify to invest with Homeshare.

New Zealand law normally requires those offering managed investment products to give information to investors before they invest. This information is designed to help investors make an informed decision.
If you are a wholesale investor, the usual rules do not apply to offers made to you, and as a result, you may not receive a complete and balanced set of information. You will also have fewer other legal protections for these investments. It’s important that you understand these consequences. Investments of this kind are not suitable for retail investors.
Ask questions, read all documents carefully, and seek independent financial advice before committing yourself.
Set out below are the different ways that you can qualify as a wholesale investor.
Eligible Investor
You may qualify as an eligible investor if you have previous experience in acquiring or disposing of managed investment products that are similar to those that we offer. This experience allows you to assess the following:
The merits of our offers. This includes, among other things, the value of any investment that you make and the risks associated with your investment.
Your own information needs in relation to our offers.
The adequacy of the information that we provide to you in relation to our offers.
The consequences of certifying yourself as an eligible investor.
Eligible Investor & Professional Adviser Certificates required
It’s important to be aware that the criteria to be an eligible investor are stringent. To qualify, you must be able to demonstrate that you have extensive experience in investing in managed investment products of a similar nature and risk profile to those that we offer, that you have a deep understanding of the industry in which we operate, and that you have considerable investment experience and financial literacy.
If you think you meet the criteria to be an eligible investor, you will need to complete an Eligible Investor Certificate which confirms that you have the necessary knowledge and experience to invest as a wholesale investor. A lawyer, accountant, or financial adviser will also need to complete and send directly to us a Professional Adviser Confirmation. These can both be done digitally during our onboarding process.
The purpose of the Professional Adviser Confirmation is to obtain independent confirmation that the certifications that you have provided are correct and that you have been sufficiently advised of the consequences of certifying yourself as an eligible investor.
Following receipt of your Eligible Investor Certificate and the Professional Adviser Confirmation, we will determine whether you meet the criteria to be an eligible investor.
Investments Business
Your principal business consists of one or more of the following:
Investing in financial products.
Providing financial advice.
Providing a client money or property service.
Trading in financial products on behalf of other persons.
OR
You are one of the following:
A licensed manager of a registered scheme or a discretionary investment management service.
A financial adviser.
Note: This isn’t a comprehensive list of all investment businesses. Please contact us or your legal advisers if you think you qualify as an investment business that isn’t listed above.
Investments Activity
You own or have owned a portfolio of specified financial products worth at least $1 million in the last two years.
OR
You have carried out one or more transactions to acquire specified financial products in the last two years, with an amount payable under those transactions of at least $1 million.
OR
For at least two years during the past 10 years, you have been employed or engaged in an investment business where you were materially involved in the investment decisions made by that business.
Note: “Specified financial products” means debt securities, equity securities (such as shares in a company), derivatives or managed investment products. Specified financial products do not include bank notice products, bonus bonds, call building society shares, call credit union shares, call debt securities, credit union fixed term deposit products, credit union savings account products, fixed term deposit products issued by a registered bank, fixed term redeemable building society shares, co-operative shares, PIE call fund units, PIE term fund units, interests in a retirement scheme, or financial products issued by an associated person to you.
Large
Your net assets and those of the entities you control have exceeded $5 million in each of the last two financial years.
OR
Your total consolidated turnover and that of the entities you control exceeded $5 million in each of the last two financial years.
Wholesale Investor Certificate required
If you think you meet the Investment Business, Investment Activity or Large criteria, you will need to complete and provide us with a Wholesale Investor Certificate. A digital version of the applicable certificate will be provided during the onboarding process for you to complete.
Offer of Financial Products
The amount that you are investing is equal to or greater than $750,000.
Investor Confirmation required
If you think you meet the Offer of Financial Products criteria, you will need to complete and provide us with an Investor Confirmation ($750,000 or more). A digital version of this certificate will be provided during the onboarding process for you to complete.
